These Terms of Service ("Terms") govern your access to and use of the AgentUriel website and the AI-powered customer operations platform at agenturiel.com (the "Service"), operated by [Company legal name] ("AgentUriel", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

AgentUriel lets you create and operate AI agents that automate customer operations — including orders, confirmations, phone calls, WhatsApp, SMS, email, appointments, recruitment and lead outreach — across the third-party channels you connect. Features, limits and availability depend on your subscription plan and may change over time.

• You must be at least 18 years old and able to enter into a binding contract.
• You are responsible for the accuracy of your account information and for keeping your credentials secure.
• You are responsible for all activity that occurs under your account.
• If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

• Paid plans are billed in advance on a recurring basis through our payment processor, Stripe.
• Subscriptions renew automatically until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period.
• Metered/usage-based charges (e.g. message or voice overages) are billed in addition to your plan according to the rates shown at purchase.
• Fees are exclusive of taxes unless stated otherwise. Except where required by law, payments are non-refundable.
• Free trials, where offered, convert to a paid subscription unless cancelled before the trial ends.

You agree not to use the Service to:

• Violate any applicable law or regulation, or the terms of any third-party platform you connect (including LinkedIn, Meta, WhatsApp, Twilio and email providers).
• Send spam, unsolicited bulk messages, or communications to recipients who have not consented where consent is required.
• Harass, deceive, defraud or impersonate any person, or generate unlawful, harmful or misleading content.
• Infringe intellectual property or privacy rights, or process personal data without a lawful basis.
• Attempt to disrupt, reverse engineer, scrape, or gain unauthorised access to the Service or its infrastructure.

You are solely responsible for obtaining any consents and providing any disclosures required to contact your customers and prospects through the channels you use, and for complying with applicable communications, marketing and data-protection laws.

The Service uses automated AI models to generate messages, replies and other content. AI output can be inaccurate, incomplete or inappropriate. You are responsible for reviewing and supervising your agents' output and for any messages sent on your behalf. We do not warrant that AI-generated content is accurate or fit for any particular purpose.

The Service integrates with third-party platforms and providers. Your use of those services is governed by their own terms and privacy policies, and your access may be limited or revoked by them. We are not responsible for third-party services or for any loss arising from their acts, omissions or changes.

You retain all rights to the content and data you submit to the Service ("Your Content"). You grant us a limited licence to host, process and transmit Your Content as necessary to provide the Service, including sending it to the subprocessors described in our Privacy Policy. You represent that you have the rights and lawful basis to provide Your Content and to have it processed in this way.

The Service, including its software, design and content (excluding Your Content), is owned by AgentUriel and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms and your plan.

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that creates legal risk or harms others. On termination, your right to use the Service ends; provisions that by their nature should survive (e.g. payment, disclaimers, liability limits) will survive.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure.

To the maximum extent permitted by law, AgentUriel will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amounts you paid us in the twelve (12) months before the event giving rise to the claim.

You agree to indemnify and hold AgentUriel harmless from any claims, damages and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your breach of these Terms or of any law or third-party right.

These Terms are governed by the laws of [governing-law jurisdiction], without regard to its conflict-of-laws rules. The courts of [jurisdiction] will have exclusive jurisdiction over any dispute, except where applicable law grants you the right to bring proceedings elsewhere.
